These Terms of Service ("Terms") form a binding agreement between you and Next Up ("Next Up", "we", "us") and govern your access to and use of the Next Up web application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Next Up is a multi-tenant SaaS application that helps teams manage turn-taking, task rotation, and shared status. Features may evolve; we may add, change, or remove features at our discretion.
2. Eligibility and accounts
- You must be at least 16 years old and able to form a binding contract.
- You are responsible for maintaining the confidentiality of your credentials.
- You are responsible for all activity that occurs under your account.
- Notify us promptly of any unauthorized access.
3. Workspaces, roles, and invitations
When you sign up you create a workspace and become its owner. Owners can invite additional members and assign roles. Owners control billing, member access, and workspace content. Invited members agree to these Terms when they accept an invitation.
4. Free trial and subscriptions
- New workspaces include a 14-day free trial. No credit card is required to start a trial.
- To continue using paid features after the trial, the workspace owner must subscribe to a plan via our payments provider, Stripe.
- Subscriptions renew automatically each billing period until canceled. The owner can manage or cancel the subscription at any time from the Billing page.

5. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy. We may suspend or terminate accounts that violate it.
6. Your content
You retain ownership of the content you submit to the Service ("Customer Content"). You grant Next Up a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely to provide and improve the Service. You represent that you have the rights necessary to submit Customer Content and that it does not violate applicable law or third-party rights.
7. Intellectual property
The Service, including its software, design, trademarks, and documentation, is owned by Next Up and protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, reverse-engineer, or create derivative works of the Service, except to the extent such restriction is prohibited by law.
8. Third-party services
The Service relies on third-party providers (including Supabase for database/auth, Stripe for payments, and our email delivery provider). Their terms and privacy policies govern their respective services.
9. Public boards
Workspace owners may publish public, passcode-protected read-only boards. Anyone with the link and passcode can view that board. You are responsible for what you publish and for rotating passcodes when appropriate.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. NEXT UP IS NOT A HIPAA-COVERED ENTITY OR BUSINESS ASSOCIATE, AND THE SERVICE IS NOT INTENDED FOR PROTECTED HEALTH INFORMATION.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT UP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID NEXT UP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
12. Indemnification
You agree to defend, indemnify, and hold harmless Next Up from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service, or your violation of these Terms.
13. Termination
You may stop using the Service at any time and cancel any subscription through the Billing page. We may suspend or terminate your access for material breach of these Terms or our Acceptable Use Policy. Sections that by their nature should survive termination will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of [STATE], USA, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in [COUNTY, STATE], and each party consents to personal jurisdiction there. Where required, you and Next Up will first attempt to resolve disputes in good faith for 30 days before filing a claim.
15. Changes to these Terms
We may modify these Terms from time to time. Material changes will be notified in-app or by email. Continued use of the Service after changes take effect constitutes acceptance.
